Strategy and Setup Terms

These Strategy and Setup Terms (the "Strategy Terms") govern the one-off Start With Us service, also referred to as the Strategy and Setup service. They form a binding agreement between the Service Provider and the Client.

These Strategy Terms cover the Start With Us option only. If the Client took Self Start, the one-off service is covered by the Self Start Terms instead and these Strategy Terms do not apply. Everything beyond the one-off Strategy and Setup - the subscription, the B2B Outreach System, Leads, and all other terms - is governed by the Terms and Conditions in both cases.

The Client accepts these Strategy Terms before any payment is made. Acceptance is given in writing - by confirming acceptance in the form or checkout Bamya Leads provides, or by confirming acceptance by email - and in accepting them the Client confirms that it has read, understood, and agrees to these Strategy Terms and to the Terms and Conditions. The "Effective Date" is the date of that acceptance. Bamya Leads records the date of acceptance and the version accepted, and sends the Client a copy of the accepted version by email after acceptance, so that both Parties hold the same written record of what was agreed and when.

If the Strategy and Setup Fee is paid without acceptance having been recorded, payment of the fee is itself acceptance of these Strategy Terms and of the Terms and Conditions as published on the date of payment.

1. Parties

The Service Provider is ATTN PLEASE LTD, a company registered in England and Wales under company number 16665743, with registered address at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE, with designated contact email yana@bamya.co (the "Service Provider" or "Bamya Leads"). The "Client" is the business identified in the order, questionnaire, or account through which the Strategy and Setup service is purchased, acting through the individual who accepts these Strategy Terms on its behalf. That individual confirms, in accepting them, that they are authorised to do so.

ATTN PLEASE LTD trades under the brand name "Bamya Leads". References in these Strategy Terms to "Bamya Leads" mean ATTN PLEASE LTD acting under that trading name. "ATTN PLEASE LTD" is used only where the legal entity is being referred to.

The Service Provider and the Client are each a "Party" and together the "Parties".

2. The Strategy and Setup Service

These Strategy Terms cover the one-off Strategy and Setup service only. It consists of the following two deliverables.

The Strategy

  • Bamya Leads prepares and delivers a draft outreach strategy document, anchored in the Client's actual offer.
  • To enable this, the Client provides copy from its landing page, or an equivalent written description, containing the specific offer being positioned in the B2B outreach.
  • Bamya Leads aims to deliver the draft strategy document within 5 business days of the date on which the Strategy and Setup Fee has been received in cleared funds and the Client has provided the offer material above. This is a target rather than a guaranteed date.
  • The Client provides timely written feedback so that the strategy can be finalised and confirmed.

The Setup

  • Once the Client confirms the finalised strategy in writing, Bamya Leads sets up the agreed campaigns and grants the Client working access to the Bamya Leads B2B outreach system (the "B2B Outreach System"), from which the Client can view, manage, and act on delivered Leads and drafts.
  • Bamya Leads aims to complete setup and grant access within 3 business days of that confirmation. Campaign setup and system access are delivered concurrently.
  • Setup covers one campaign. Further campaigns are ordered separately under the Terms and Conditions.

Use of the Strategy

  • The delivered strategy is the Client's to use on a standalone basis for its own business, whether or not the Client proceeds to order Leads or to use the B2B Outreach System.
  • The strategy is provided to the Client for its own internal use only. The Client may not share, disclose, publish, sublicense, resell, or otherwise make the strategy, in whole or in part, available to any third party. This restriction sits alongside the Permitted Use and Restrictions on Deliverables provisions in Section 6 of the Terms and Conditions, which apply to the strategy as a deliverable.

3. Fee and Payment

All amounts are in GBP.

  • The Strategy and Setup Fee is the one-off Start With Us fee set out in the applicable order or invoice or, where the order does not state an amount, the price published at leads.bamya.co/pricing at the time of the order. It is payable after the Client has accepted these Strategy Terms and before the strategy call is conducted.
  • The discovery call is free and takes place before any payment is made. The strategy call is part of the Strategy and Setup service and follows payment.
  • Bamya Leads is not registered for VAT. No VAT is charged on the Strategy and Setup Fee and Bamya Leads does not issue VAT invoices.
  • Bamya Leads is under no obligation to commence the Strategy and Setup - including the strategy call, the strategy itself, campaign setup, or access to the B2B Outreach System - until the Strategy and Setup Fee is received in cleared funds. No delivery timeline begins to run before that point.
  • The Strategy and Setup Fee is refundable in full if Bamya Leads has not begun the work. Once that work has begun, the fee is not refundable, because it is paid for work carried out once and specifically for the Client.

4. Relationship to the Terms and Conditions

These Strategy Terms cover the one-off Strategy and Setup service and fee only. Everything else governing the relationship between the Parties is set out in Bamya Leads's Terms and Conditions, including:

  • the subscription and ongoing use of the B2B Outreach System;
  • the supply of Researched Leads, Personal Leads and Potential Lead lists, and their pricing;
  • deliverables and Lead quality standards, validity and replacement;
  • Client obligations, including the human-to-human sending requirement and the restrictions on use of deliverables;
  • confidentiality, data protection, publicity and brand use;
  • limitation of liability, term and termination, and governing law and disputes.

By accepting these Strategy Terms, the Client confirms that it has read and accepts the Terms and Conditions as published at the Effective Date, which are incorporated into and form part of these Strategy Terms. Where these Strategy Terms and the Terms and Conditions differ on the Strategy and Setup service specifically, these Strategy Terms govern; on every other matter the Terms and Conditions govern.

These Strategy Terms are governed by the laws of England and Wales, and the dispute provisions in Section 12 of the Terms and Conditions apply to them.

5. Changes to these Strategy Terms and Contact

We may update these Strategy Terms from time to time. The date at the top of this page shows when they were last revised. Material changes will be reflected in an updated version published at the same web address. The version that governs is the one in force at the date the Client accepts them; a later change does not alter what was accepted for a Strategy and Setup service already ordered.
